Terms of Service
1. Acceptance of Terms
By accessing or using the Parclo B2B marketplace (the "Platform"), you agree to these Terms of Service. If you do not agree, you may not use the Platform. These terms apply to all users, including buyers, suppliers, and company representatives.
2. Definitions
In these Terms:
- "Platform" means the Parclo website, applications, and related services.
- "User" means any person or entity that registers for or uses the Platform.
- "Buyer" means a User who publishes requests for quotation (RFQs) or seeks suppliers.
- "Supplier" means a User who responds to RFQs or offers products or services.
- "RFQ" means a request for quotation published on the Platform.
- "Company Profile" means the business profile associated with a registered company on the Platform.
3. Eligibility and Account Registration
The Platform is intended for business use only. You must be at least 18 years old and authorized to act on behalf of your company. You agree to provide accurate, current, and complete company and contact information during registration and to keep it up to date. You are responsible for all activity under your account and must keep your login credentials confidential.
4. Role of Parclo
Parclo operates an intermediary B2B marketplace that connects buyers and suppliers. Parclo is not a party to contracts, negotiations, or transactions between Users. We do not guarantee the quality, safety, legality, or delivery of any goods or services offered by Users. Users are solely responsible for evaluating counterparties and entering into their own agreements.
5. Acceptable Use
You agree not to use the Platform to:
- Violate any applicable law or regulation, including EU and Baltic trade and consumer rules.
- Provide false, misleading, or fraudulent company or contact information.
- Publish RFQs, quotes, or content that is unlawful, defamatory, harassing, or discriminatory.
- Impersonate another person or company, or misrepresent your authority to act on behalf of a company.
- Scrape, copy, or systematically extract Platform data without written permission.
- Interfere with Platform security, availability, or the experience of other Users.
- Use the Platform for spam, unsolicited marketing, or activities unrelated to legitimate B2B trade.
6. RFQs, Quotes and Transactions
Users may publish RFQs and submit quotes through the Platform. Parclo does not guarantee that any RFQ will receive responses or that any quote will be accepted. All commercial terms, including price, delivery, payment, and warranties, are agreed directly between Users. Parclo is not responsible for disputes arising from User-to-User dealings.
7. Subscriptions, Fees and Payments
Certain features may require a paid subscription. Fees, billing cycles, and plan details are shown at checkout or in your account settings. Unless required by law, subscription fees are non-refundable once a billing period has started. Failure to pay may result in suspension or downgrade of your account. Taxes may apply based on your location and billing details.
8. Content and Intellectual Property
You retain ownership of content you submit to the Platform, but grant Parclo a non-exclusive, worldwide license to host, display, and use that content to operate and promote the Platform. Parclo trademarks, branding, and Platform software remain our property. You may not copy, modify, or reverse engineer any part of the Platform without our written consent.
9. Suspension and Termination
We may suspend or terminate your account if you breach these Terms, misuse the Platform, or if required by law. You may close your account at any time through your account settings or by contacting us. Provisions that by nature should survive termination, including liability limits and governing law, will continue to apply.
10. Disclaimers and Limitation of Liability
The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Parclo disclaims all warranties and is not liable for indirect, incidental, or consequential damages arising from your use of the Platform or dealings with other Users. Our total liability for any claim relating to the Platform is limited to the amount you paid to Parclo in the twelve months before the claim, or EUR 100 if no fees were paid.
11. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Lithuania and applicable European Union law. Disputes shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts of Lithuania, unless mandatory consumer protection rules require otherwise.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via the Platform or email. Continued use after changes take effect constitutes acceptance of the updated Terms. The version accepted at registration is recorded with your account.
